Clipwing provides video editing and content production services, including but not limited to:
· editing raw video footage
· creating short-form videos
· editing long-form videos, when agreed
· adding subtitles/captions
· basic sound cleanup
· adapting videos for different platforms and formats
· ongoing optimization based on client feedback
The exact scope of work, number of deliverables, formats, and timelines may be agreed separately in writing by email, Slack, contract, invoice, or another written channel.

To allow us to deliver the work, the client agrees to provide:
· raw footage and necessary assets
· clear instructions
· timely feedback
· access to relevant files, brand materials, or platforms when needed
Delays in materials, feedback, approvals, or access may affect delivery timelines.
Feedback should be clear and consolidated where possible.

Unless agreed otherwise in writing, services are billed in advance.
Payment is usually made via Stripe or another agreed payment method.
Work may start only after payment is received, unless otherwise agreed in writing.

If the client purchases a monthly plan, the plan renews automatically every month unless cancelled in accordance with the agreed cancellation terms.
Unused videos or unused deliverables do not roll over to future billing periods unless we agree otherwise in writing.

To cancel a recurring subscription, the client must provide written notice by email.
Unless agreed otherwise in writing, cancellation notice must be provided at least 30 days before the next renewal date.
Cancelling a subscription prevents future renewals but does not automatically refund the current billing period.

All fees are non-refundable once the billing period begins or once work has started.

We may provide revisions based on the agreed scope of work.
Revision requests should be reasonable, clear, and related to the original brief.
Requests that significantly change the original direction, require new creative work, or fall outside the agreed scope may be billed separately.

Any services outside the agreed scope are not included by default.
Additional services may be provided only after written approval and may be billed separately.

After full payment for the relevant billing period or project, the client owns the final edited videos delivered as part of the agreed services.
Raw project files, internal working files, templates, systems, presets, processes, and editing methods remain the property of Clipwing unless agreed otherwise in writing.

Unless agreed otherwise in writing, Clipwing may showcase final work for portfolio, website, social media, case studies, or promotional purposes.
If a project is confidential, under NDA, or cannot be shared publicly, the client must notify us in writing.

Both parties agree to keep non-public information confidential and not disclose it to third parties without prior written consent, except where required by law or necessary to provide the services.

Clipwing will use commercially reasonable efforts to provide high-quality services.
However, we do not guarantee specific results, including views, engagement, conversions, revenue, follower growth, or platform performance.
Limitation of Liability

To the maximum extent permitted by law, Clipwing is not liable for indirect, incidental, special, consequential, or lost-profit damages.
Unless otherwise agreed in writing, our total liability is limited to the amount paid by the client for the current billing period or the specific project giving rise to the claim.

These Terms are governed by the laws of the State of Delaware, United States, unless otherwise required by applicable law.
